Communication on the assignment of shares following a unilateral commitment to sell granted by Gilles Avenard

Paris – January 16, 2006 -- As mentioned in Section 6.3.7 of the registration document – the French version of which was registered by the AMF on November 15, 2005 under number I. 05-132, Galapagos, a non-stock company has acquired, on December 23, 2005, 18,752 shares, representing 0.23% of then outstanding shares of BioAlliance Pharma, further to the exercise of its option to purchase pursuant to a unilateral commitment to sell which had been granted by Gilles Avenard.
